1. Acceptance of Terms
By creating an account or using NoteUp ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.
2. Description of Service
NoteUp is a case management and knowledge tracking platform for IT professionals. The Service allows users to log cases, track resolutions, manage clients and tasks, attach files, maintain a journal, and search past cases using AI-powered search. Team plans enable shared workspaces where cases, clients, and tasks can be collaboratively managed and assigned.
3. User Accounts
You must provide accurate and complete information when registering. You are responsible for maintaining the confidentiality of your password and for all activity under your account.
You must notify us immediately if you suspect unauthorized access to your account. We offer two-factor authentication (2FA) to help secure your account and recommend enabling it.
We reserve the right to disable or suspend accounts that violate these terms, are used for unlawful purposes, or pose a security risk. Disabled accounts cannot log in but data is preserved unless the account is deleted.
4. Subscriptions & Billing
NoteUp offers three plans:
- Free — Up to 15 cases, unlimited notes, clients, tasks, file attachments, and basic text search.
- Pro ($8/month) — Unlimited cases, AI-powered search, AI task suggestions, file attachments, priority email support, and full data export.
- Team ($10/user/month) — Everything in Pro, plus shared workspace, case and task assignment, team audit trail, IP allowlisting, member onboarding and offboarding, and unlimited team members. Billed per seat.
All payments are processed securely by Stripe. We do not store, process, or transmit credit card information. Subscriptions are billed monthly and can be cancelled at any time. Upon cancellation, your account reverts to the Free plan at the end of your billing period.
Your existing data (cases, notes, contacts, tasks, attachments) is never deleted when changing or cancelling plans. On the Free plan, you may not create new cases beyond the 15-case limit but can continue to view and add notes to existing ones.
5. Teams
Team plan subscribers can create a shared workspace and invite members by email. The team owner is responsible for billing and manages all seats. Seats are added or removed automatically as members are invited or offboarded, with prorated billing adjustments.
Team administrators can restrict login access to approved IP addresses. Offboarded members are archived in the team roster and their open work can be reassigned to another member.
Data created within a team workspace (cases, contacts, tasks) is visible to all active team members. Personal account data (profile, 2FA settings) remains private.
6. Data & Content
You retain ownership of all content you create in NoteUp, including cases, notes, clients, contacts, tasks, journal entries, and file attachments. We do not claim any intellectual property rights over your content.
You may export all your data at any time from Account Settings. You may also delete your account, which permanently removes all associated data.
7. File Attachments
Users may upload file attachments to cases. Allowed file types are limited to common document and image formats. Individual files are limited to 10 MB. Storage quotas apply based on your subscription tier. You are responsible for ensuring that uploaded files do not contain malware or infringe third-party rights.
8. AI Features
Pro and Team plans include AI-powered search and AI task suggestions. These features use your case data to generate results. AI-generated results are provided as suggestions and may not always be accurate. You should verify AI output independently before relying on it for critical decisions.
9. Acceptable Use
You agree not to: misuse the Service or use it for any unlawful purpose; attempt to gain unauthorized access to other accounts or systems; use automated tools to scrape or overload the Service; upload malicious files or content; or interfere with the Service's security features.
10. Security
We implement industry-standard security measures including encryption in transit (TLS 1.3), encryption at rest for sensitive fields, two-factor authentication, account lockout after failed login attempts, session timeout, CSRF protection, Content Security Policy headers, and rate limiting. 11. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or that AI-generated results will be accurate or complete.
12. Limitation of Liability
To the maximum extent permitted by law, NoteUp shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, profits, or revenue, arising from or related to your use of the Service.
13. Governing Law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes shall be resolved in the courts of Ontario, Canada.
14. Changes to Terms
We may update these terms from time to time. Material changes will be communicated via email or a notice within the Service. Continued use of the Service after changes take effect constitutes acceptance.
